• Describe the services Lucky Rx provides and the services Lucky Rx does not provide;
• Provide access to the Telemedicine Consent, which describes the potential risks and benefits of telemedicine services and includes consent relating to healthcare services provided by independent healthcare providers;
• Describe eligibility requirements for use of the Site and Services;
• Contain limitations of liability and releases relating to healthcare services, treatment decisions, prescriptions, and medical care provided by independent healthcare providers and pharmacies; and
• Contain an Arbitration Agreement, Waiver of Trial by Jury, and Waiver of Class Action.

THESE TERMS AND CONDITIONS CONTAIN AN ARBITRATION AGREEMENT, CLASS ACTION WAIVER, AND JURY TRIAL WAIVER. BY AGREEING TO THESE TERMS, EXCEPT FOR CERTAIN DISPUTES IDENTIFIED IN THE ARBITRATION CLAUSE BELOW, YOU AGREE THAT ALL DISPUTES BETWEEN YOU AND LUCKY RX WILL BE RESOLVED BY MANDATORY BINDING ARBITRATION AND YOU WAIVE ANY RIGHT TO PARTICIPATE IN A CLASS ACTION LAWSUIT OR CLASS-WIDE ARBITRATION.

WARRANTY DISCLAIMERS AND LIABILITY LIMITATIONS: WHILE THERE ARE IMPORTANT POINTS THROUGHOUT THESE TERMS, PLEASE NOTE THAT THE WARRANTY DISCLAIMERS AND LIMITATIONS ON OUR LIABILITY ARE EXPLAINED IN THIS AGREEMENT.

INTRODUCTION - WHAT WE DO

Welcome to Lucky Rx LLC (“Lucky Rx”, “we”, “us”, or “our”). Lucky Rx operates a technology and administrative platform that facilitates access to educational content, account management services, payment-related administrative services, customer support functions, and operational coordination among users, independent healthcare providers, pharmacies, and other service providers supporting the Services. In this Agreement, the terms “you” and “yours” refer to the person using the Service.

Lucky Rx and its affiliates own and operate luckyrx.com and other websites, applications, platforms, or digital properties that link or redirect to the Website (collectively, the “Website”). Your access and use of the Platform, any part thereof, or anything associated therewith, including its content (“Content”), any products or services provided through the Platform or otherwise by us, and any affiliated website, software or application owned or operated by us (collectively, including the Platform and the Content, the “Service”) are governed by these Terms and Conditions (“Terms and Conditions” or “Agreement”).

The Website facilitates services for registered users, which may include:

• providing general educational information regarding health conditions and available treatment options;
• account administration, payment-related administrative services, customer service functions, subscription administration, and order administration; and
• technology and operational support that facilitates communication and workflow coordination among users, independent healthcare providers, pharmacies, and service providers supporting the Services (collectively, the “Services”).

HEALTHCARE FACILITATION SERVICES

We make available to individuals who register as users of the Service (“Users”) certain products and services sold or offered by us or by third party medical providers, pharmacies, or other vendors via our Service. Our Service provides access to prescription fulfillment services offered by the following pharmacies: Precision Medicine located at 2657 Merrick Road, Bellmore NY 11710 (the “Pharmacies”). We may also provide you with access to one or more of the following medical groups who provide healthcare services through the Platform (the “Medical Groups”): MDI Medical Group PC, a professional corporation, having a business address at 100 Powell Place #1859, Nashville, Tennessee 37204, its affiliated practices, or others we may designate from time to time. These medical groups employ or contract with physicians, nurses, allied health professionals, and other health professionals who offer certain healthcare services through the Platform (“Providers”). By accepting this Agreement, you acknowledge and agree that any services you receive from the Pharmacies, Medical Groups or Providers through the Platform are also subject to this Agreement, and that Pharmacies, Medical Groups and Providers are third party beneficiaries of this Agreement.

We do not control or interfere with the practice of medicine by the Medical Groups or any Providers, each of whom is solely responsible for directing the medical care and/or treatment they provide to you. By accepting this Agreement, you acknowledge and agree that Lucky Rx is not a healthcare provider and that by using the Service, you are not entering into a doctor-patient or other health care provider-patient relationship with Lucky Rx. By using the Service, you may, however, be entering into a doctor-patient or other health care provider-patient relationship with the Medical Group and/or one or more Providers. Further, we do not control or interfere with any professional service provided by the Medical Groups, Provider, or Pharmacies, each of which is solely responsible for their provision of professional services rendered via the Service.

By accepting this Agreement, you acknowledge and agree that the Medical Group and/or Providers may send you messages, reports, and emails via the Service regarding your diagnosis and/or treatment. You understand and agree that Lucky Rx is not responsible for the security or privacy of communications services you use to receive the aforementioned messages, reports, and emails sent via the Service. You further understand and agree that it is your sole responsibility to monitor and respond to these messages, reports, and emails and that neither Lucky Rx nor the Medical Group nor any Provider will be responsible in any way and you will not hold Lucky Rx, the Medical Group or any Provider liable for any loss, injury, or claims of any kind resulting from your failure to read or respond to these messages or for your failure to comply with any treatment recommendations or instructions from the Medical Group or your Provider(s).

Access to Telehealth Services. You may use the Services to connect via telehealth with health care Providers. Providers provide medical services, and each Provider exercises independent medical judgment in the delivery of care or advice through the Services. Although Lucky Rx facilitates your communications and other interactions with Providers, Lucky Rx does not provide medical services and the provider-patient relationship is between you and your Provider. You acknowledge that Providers may determine that telehealth services are not appropriate for you or your treatment needs, and any Providers may elect to not provide clinical services to you through the Services for any other reason, including if your Provider determines in their professional judgment that clinical services are not medically or ethically appropriate. Each Provider is employed or contracted by a professional medical practice that is independently owned by a licensed physician, not Lucky Rx. All references to Practice or Practices in this Agreement shall be deemed to include all Providers. Lucky Rx contracts with and provides certain management and administrative services for and on behalf of the Practices. Lucky Rx itself does not provide any health care services nor does Lucky Rx exercise control or direction over the means, methods or manner by which any Practice or Provider exercises professional judgment in the provision of clinical services. Similarly, Lucky Rx is not responsible for the quality or appropriateness of the care any Provider renders to you. None of the Services are intended to replace your relationship with your primary care physician or other qualified healthcare providers.

YOU SHOULD NEVER DISREGARD, AVOID, OR DELAY SEEKING MEDICAL ADVICE FROM YOUR PRIMARY CARE PHYSICIAN OR OTHER QUALIFIED HEALTHCARE PROVIDER BASED ON INFORMATION MADE AVAILABLE THROUGH THE WEBSITE OR SERVICES.

BY ACCESSING OR USING THE WEBSITE OR SERVICES, YOU AGREE TO THESE TERMS AND CONDITIONS AND THE LUCKY RX PRIVACY AND SECURITY POLICY, WHICH IS INCORPORATED INTO THESE TERMS AND CONDITIONS BY REFERENCE. IF YOU DO NOT AGREE TO THESE TERMS AND CONDITIONS, YOU MAY NOT ACCESS OR USE THE WEBSITE OR SERVICES.

Except for communications related to your specific health and wellness that you received from a Provider, THE INFORMATION AND OTHER CONTENT AVAILABLE ON OR THROUGH THE SERVICES IS FOR INFORMATIONAL PURPOSES ONLY AND IS NOT INTENDED TO SUBSTITUTE FOR PROFESSIONAL MEDICAL ADVICE, DIAGNOSIS OR TREATMENT. YOU SHOULD ALWAYS CONSULT WITH YOUR HEALTHCARE PROVIDER REGARDING QUESTIONS YOU HAVE ABOUT ANY MEDICAL CONDITION BEFORE MAKING HEALTHCARE DECISIONS.

PROTECTED HEALTH INFORMATION

When you create an account with Lucky Rx, you provide information such as your name, email address, shipping address, phone number, and certain transactional information. This account and administrative information is not "protected health information" as defined under HIPAA.

Lucky Rx is not a "covered entity" under HIPAA. Lucky Rx may in some circumstances be a "business associate" of an independent healthcare provider, affiliated healthcare entity, or pharmacy, and solely in that capacity may be subject to certain HIPAA provisions with respect to protected health information ("PHI"). Any information that constitutes PHI will be used and disclosed only in accordance with applicable law.

Information you provide to Lucky Rx that is not used solely for diagnosis and treatment by independent healthcare providers or prescription fulfillment by pharmacies is not PHI and is subject to this Privacy Policy and applicable state privacy laws. Account registration information (name, date of birth, email address, shipping address, and phone number) is not PHI. However, certain account and transactional information may constitute "Consumer Health Data" or "Sensitive Personal Information" under applicable state laws and will be treated in accordance with those laws and our Consumer Health Data Privacy Policy where applicable.

Independent healthcare providers, pharmacies, and affiliated healthcare entities maintain their own privacy practices and Notices of Privacy Practices. Lucky Rx does not use PHI for advertising or marketing purposes.

LUCKY RX IS NOT A PHARMACY

Lucky Rx is not a pharmacy and does not dispense medications.

Any medication prescribed by an independent healthcare provider is intended solely for purposes determined appropriate by the prescribing healthcare provider based upon the provider's independent professional judgment and applicable standards of care.

If a healthcare provider authorizes a prescription, the Services may facilitate operational coordination associated with prescription fulfillment and delivery through one or more licensed pharmacies (each, a “Pharmacy”).

Pharmacies independently review, process, prepare, and fulfill prescriptions in accordance with their own professional obligations, policies, procedures, and applicable law.

Prescription fulfillment services are performed exclusively by licensed pharmacies. Lucky Rx does not dispense medications and does not control, direct, influence, or assume responsibility for pharmacy fulfillment decisions, medication preparation, dispensing activities, or pharmacy operations.

COMPOUNDED MEDICATIONS

Services facilitated through the Website may involve independent healthcare providers prescribing, and licensed compounding pharmacies preparing, compounded prescription medications. Compounded medications are customized prescription preparations made by licensed compounding pharmacies and are not FDA-approved as finished drug products. Compounded medications have not undergone the same pre-market approval process as commercially manufactured FDA-approved drugs.

Products that may be facilitated through the Services may include compounded sublingual tablets containing one or more active pharmaceutical ingredients, which may include phosphodiesterase type 5 (PDE5) inhibitors such as sildenafil, tadalafil, and vardenafil, dopaminergic agents such as apomorphine, hormonal agents such as oxytocin, and nutritional agents such as methylcobalamin, in dosages and formulations determined by prescribing healthcare providers based upon their independent professional and clinical judgment. Certain compounded formulations may contain combinations of active ingredients whose combined effects may differ from the effects of each ingredient taken individually, including additive effects on blood pressure. The prescribing healthcare provider will independently evaluate the safety of any such combination for each individual patient based on their health history, current medications, and cardiovascular status.

The specific compounded formulation prescribed, if any, is determined solely by the independent licensed healthcare provider based upon the provider's evaluation of the individual patient and applicable standards of care. Lucky Rx does not determine, select, direct, or guarantee any specific compounded formulation, ingredient combination, dosage, or product.

Compounded medications are prepared by licensed compounding pharmacies subject to applicable state board oversight and pharmacy laws. Patients should carefully review all prescription labeling, pharmacy-provided materials, and healthcare provider instructions prior to use.

Completion of account registration, questionnaires, payment authorization, or product selection does not guarantee that a compounded prescription medication will be prescribed or dispensed. All prescribing decisions are made independently by licensed healthcare providers.

Compounded formulations made available through the Services are developed by independent licensed healthcare providers and compounding pharmacies. All formulations are subject to clinical review and approval by independent licensed healthcare providers before being made available through the Services. Individual prescribing decisions remain solely within the professional and clinical judgment of the prescribing healthcare provider.

RESIDENTS OF CERTAIN STATES ARE NOT ELIGIBLE

Availability of the Services may vary by jurisdiction and is subject to applicable federal and state laws, licensing requirements, pharmacy limitations, healthcare provider availability, and operational considerations.

Availability of Services may change based on legal, regulatory, licensing, operational, or healthcare provider considerations.

Residents of jurisdictions where Services are unavailable or restricted may be unable to create accounts, submit requests, complete transactions, receive healthcare services from independent healthcare providers, obtain prescriptions, or access certain Website functionality.

PERSONS UNDER 18 YEARS OLD ARE NOT ELIGIBLE

Persons under eighteen (18) years of age are not eligible to register for accounts, access, or use the Website or Services.

By creating an account, accessing or using the Website or Services, submitting information, requesting healthcare-related services, or otherwise interacting with the Services, you represent and warrant that you are at least eighteen (18) years old and possess the legal authority and capacity to enter into these Terms and use the Services.

Lucky Rx does not knowingly permit individuals under the age of eighteen (18) to create accounts, use the Services, submit information through the Website, or participate in offerings made available through the Services.

If you are a parent or guardian and believe an individual under the age of eighteen (18) has created an account, submitted information, or used the Website or Services without authorization, please contact Lucky Rx promptly at: [email protected]

ACCURACY OF INFORMATION

You represent and warrant that all information you submit in connection with account registration, use of the Website or Services, customer support interactions, healthcare-related submissions, payment-related activities, or other use of the Services is true, accurate, current, complete, and not misleading.

You agree to maintain and promptly update your information as necessary to keep it accurate and current for as long as you access or use the Website or Services.

You may not impersonate another individual, create accounts using false identities, submit inaccurate or misleading information, or use false names, addresses, contact information, payment information, or other identifying information.

You are responsible for all activities occurring under your account and for any use of the Website or Services through your account credentials.

You acknowledge that healthcare providers rely upon information submitted by users when making treatment eligibility determinations, diagnosis decisions, treatment recommendations, prescribing decisions, and other healthcare determinations.

PRIVACY

Lucky Rx values the privacy and security of information submitted through the Website and Services.

Use of the Website and Services is subject to Lucky Rx's Privacy and Security Policy, which is incorporated into these Terms and Conditions by reference and describes how Lucky Rx may collect, receive, use, disclose, store, and otherwise process information associated with your use of the Website and Services.

We encourage you to review all applicable privacy notices and policies associated with healthcare services, pharmacies, payment processing services, and other third-party services used in connection with the Services. In states with laws applicable to consumer health data (including Washington, Nevada, and Connecticut), our Consumer Health Data Privacy Policy also applies and is incorporated into these Terms and Conditions by reference.

YOUR ACCESS RIGHTS AND CONDUCT

Subject to these Terms and Conditions, Lucky Rx grants you a limited, non-exclusive, non-transferable, revocable right to access and use the Website and Services solely for your personal, non-commercial use and only in accordance with these Terms and Conditions.

Lucky Rx reserves all rights in and to the Website, Services, and Intellectual Property not expressly granted herein.

You agree that you are not permitted to, and will not attempt to:

• infringe, misappropriate, or violate patents, trademarks, trade secrets, copyrights, privacy rights, publicity rights, or other intellectual property or proprietary rights;
• reproduce, duplicate, copy, sell, resell, distribute, license, or exploit any portion of the Website or Services;
• reverse engineer, disassemble, decompile, decode, or otherwise attempt to derive source code, object code, algorithms, or underlying technology associated with the Website or Services;
• modify, adapt, create derivative works from, or otherwise exploit any portion of the Website, Services, software, content, or technology;
• use robots, spiders, crawlers, scrapers, AI collection systems, bots, scripts, or automated technologies to access, monitor, extract, index, or collect information from the Website or Services;
• disrupt, interfere with, damage, overload, impair, or compromise operation of the Website, Services, networks, systems, security measures, or infrastructure;
• transmit spam, junk mail, chain letters, pyramid schemes, phishing attempts, or unauthorized communications;
• upload, transmit, distribute, or introduce malware, viruses, worms, Trojan horses, malicious code, corrupted files, or harmful technologies;
• attempt to disable, circumvent, bypass, defeat, test, probe, scan, or interfere with security mechanisms or access restrictions;
• access or attempt to access accounts, credentials, systems, or information not intended for you;
• submit false, misleading, fraudulent, inaccurate, or unauthorized information;
• engage in payment fraud, subscription abuse, charge abuse, refund abuse, or misuse of promotional programs; or
• use the Website or Services in violation of applicable laws or in a manner that is fraudulent, harmful, threatening, harassing, abusive, defamatory, obscene, unlawful, or otherwise objectionable.

NON-CIRCUMVENTION

In consideration of Lucky Rx's investment in developing and maintaining relationships with independent healthcare providers, pharmacies, and other service partners made available through the Services, you agree not to knowingly circumvent the Services by directly contacting, soliciting, or engaging any independent healthcare provider or pharmacy introduced to or made available to you through the Services for the purpose of obtaining substantially similar administrative, technology, or subscription services outside of the Services during the Term of your account and for a period of twelve (12) months following termination of your account.

This restriction applies regardless of how you obtained the provider's or pharmacy's contact information, including through the Platform, provider communications, prescription documentation, or any other means made available in connection with the Services.

Notwithstanding the foregoing, nothing in this section shall be construed to limit or restrict your right to seek, continue, or obtain medical care from any licensed healthcare provider, access your medical records, prescriptions, or treatment history, or exercise any rights guaranteed under applicable law. Lucky Rx's non-circumvention interest is limited solely to the commercial and administrative relationship between you and Lucky Rx and does not extend to the independent clinical relationship between you and any licensed healthcare provider.

PAYMENT, FEES, AND SUBSCRIPTION PLANS

Lucky Rx and the Medical Groups are not enrolled with, and are not participating providers with, any federal or state healthcare programs (i.e., Medicare, Medicaid) for the provision of any health care services or supplies and, as such, neither you nor Lucky Rx or the Medical Groups may receive payment from such programs for the services or products provided to you by Lucky Rx or the Medical Groups. Further, to the extent that any of the Pharmacies, or Providers may be enrolled in federal or state healthcare programs, the means through which the services and products are provided or made accessible through the Service typically precludes such services and products from being covered benefits under these programs. By choosing to use the Services, you are specifically choosing to obtain products and services on a cash-pay basis outside of any commercial health insurance plan or federal or state health care program, and you are solely responsible for the costs of any services or products provided to you through the Services. Thus, you are solely responsible for the costs of any service or product provided to you.

By agreeing to use the Service, you acknowledge and agree that you are explicitly choosing to obtain products and services on a cash basis outside of any federal or state healthcare program and neither you nor Lucky Rx, the Pharmacies, the Medical Groups or the Providers will submit a claim for reimbursement to any federal or state healthcare program for the costs of the services and products provided to you through the Service.

Certain products or services offered through our platform may be eligible for purchase or reimbursement through Flexible Spending Accounts (FSA) or Health Savings Accounts (HSA). However, eligibility is not guaranteed. It is your responsibility to confirm whether any purchase qualifies for FSA/HSA reimbursement under applicable laws and with your specific plan administrator. Lucky Rx makes no representation, warranty, or guarantee that any particular product or service is or will remain FSA/HSA-eligible. You are solely responsible for ensuring compliance with your plan requirements and for retaining appropriate documentation for tax or reimbursement purposes.

You agree to pay all fees, including any fees that we collect on behalf of the the Medical Groups and Pharmacies, at the cost of and pursuant to any additional payment terms presented to you when engaging in such transactions. Prices are subject to change at any point in our sole discretion. When you make a purchase, you may be asked to supply certain information relevant to the transaction, including, without limitation, your payment card number and expiration date, your billing address, your shipping address, your phone number and/or your email address. By entering your payment and other information and submitting your request, you authorize us, our affiliates, or our third-party payment processors to charge the amount due, including recurring subscription fees associated with Subscription Services (as defined below). If your credit card expires or we, our affiliates, or our third-party payment processors are unable to process your payment, you may receive notice for you to provide an alternative payment method. You are responsible for keeping your payment information (such as credit card number and billing address) accurate and up to date at all times.

Subscription Plans and Pricing

Certain products and services available for purchase through the Service require that you purchase the product and/or service on an automatically renewing subscription basis. For subscription-based products and services, your payment device will be automatically charged at regular intervals as described for that product or service during the checkout process until you cancel your subscription. Your first renewal may be charged early to prevent any discontinuity in treatment. Your subsequent shipments may be charged and shipped up to two (2) days early to accommodate holidays or for other operational reasons to support continuity of treatment. We and/or the Providers may, but are not required to, perform outreach to you from time to time via the Service to request updates to your information and to facilitate ongoing subscriptions. You may cancel a subscription at any time by emailing support@LuckyRx and directly requesting a cancellation, or through your online account. Cancellation will take effect at the end of the current subscription period. We do not offer refunds for partially used subscription periods, although we may provide refunds on a case-by-case basis in our sole and absolute discretion. We may also offer you the ability to pause your subscription for a specified period of time. If you do not cancel before the end of the pause period, charging to your payment device will resume automatically. We may change our subscription plans and prices from time to time; however, we will provide you advance notice of any price changes or changes to your subscription plans.

In order to simplify the user experience through the Service, you will only see and be required to pay a single “total” subscription price. However, if a subscription product you purchase required a consultation with a Provider and/or includes a prescription product that you fill through one of the Pharmacies, then the total price you pay includes the amounts charged for use of the Service, as well as amounts charged by the Pharmacy for the prescription drug and the amount charged by the Medical Group for the services of the Provider, as applicable, which amounts are collected on behalf of and paid to the Pharmacies and Medical Groups, respectively.

Available Plans and Current Pricing

Current pricing for all available plans is displayed at checkout. Prices are stated in U.S. Dollars and are subject to change. All plans are subject to healthcare provider approval.

If you enroll in a recurring subscription plan, you authorize recurring charges to your selected payment method according to the billing frequency selected during enrollment.

AUTOMATIC RENEWAL FEES WILL BE CHARGED TO YOUR PAYMENT METHOD IN ACCORDANCE WITH YOUR AUTHORIZATION DURING ENROLLMENT.

The recurring charge amount will equal the plan price displayed at the time of your enrollment, as confirmed in your enrollment confirmation email. The price you pay at enrollment is your locked subscription price for the duration of your active subscription term. Lucky Rx will not increase the price of your current active subscription. Updated pricing applies only to new subscriptions or to reactivated subscriptions following a cancellation.

Modifying or Cancelling Subscriptions

If you purchase a subscription to the Services, your subscription is continuous and will be automatically renewed at the end of the applicable subscription period, unless you cancel your subscription before the end of the then-current subscription period through your account settings or by contacting Lucky Rx customer support at [email protected]

If you cancel your subscription, your account will automatically close at the end of your current billing period.

The applicable cancellation window, billing cycle dates, and renewal pricing for your specific plan will be confirmed in your enrollment confirmation email and are available through your account settings at https://luckyrx.com/login.

Refund eligibility remains subject to the applicable Lucky Rx Return and Refund Policy.

Prescription Renewals and Continued Treatment

Subscription plans facilitate the ongoing fulfillment of compounded prescription medications. Continued dispensing of prescription medication requires a valid prescription issued by an independent licensed healthcare provider.

Independent healthcare providers may determine, in their sole professional and clinical judgment, that a new prescription evaluation, updated medical intake, follow-up consultation, or additional information is required before authorizing continued treatment or issuing a renewed prescription.

Lucky Rx does not control, direct, or guarantee prescription renewals. In the event that a healthcare provider determines that a renewed prescription is not appropriate, fulfillment of subsequent subscription orders may be paused or suspended until a valid prescription is obtained.

If prescription renewal is required and a valid prescription is not obtained within the timeframe required to support your subscription billing cycle, Lucky Rx may pause fulfillment of the affected order. You will not be charged for orders that cannot be fulfilled due to the absence of a valid prescription.

If you elect a one-time purchase or on-demand offering, your payment method will be charged at the time of purchase or as otherwise disclosed during checkout.

One-time purchases do not automatically renew unless you separately enroll in a recurring subscription plan.

Payment Processing

To simplify the user experience, you are able to pay for your purchases via the Website with Lucky Rx serving as payment processing facilitator for your convenience. If you elect to purchase a service from an independent healthcare provider or an item (e.g., a compounded prescription product) from a pharmacy listed on or connected with the Website, then the total price you pay includes the amount charged by the independent healthcare provider for the service, as well as the amount charged by the pharmacy for the prescription product. We accept credit and debit cards issued by U.S. banks (your "payment method"). You authorize and agree that the payment method you submit may be used automatically by Lucky Rx or its third-party payment processors for any of your responsibilities for payment. If a credit card account is being used for a transaction, Lucky Rx may obtain pre-approval for an amount up to the amount of the payment. The amount of the payment will be based upon your selected subscription plan, which you may confirm at any time by accessing your account information at www.luckyrx.com/account. We use independent third-party payment processing providers ("Payment Processors") to bill you through a payment account linked to your account. The processing of payments will be subject to the terms, conditions, and privacy policies of the applicable Payment Processor. Payment information is encrypted in transit. We will share transaction data with our Payment Processors only to the extent necessary for processing your payments, refunding such payments, and addressing complaints and queries relating to such payments and refunds.

If you enroll in a recurring subscription plan, all charges and fees will be billed to the payment method you designate during enrollment. You have the right to revoke this authorization by contacting Lucky Rx at [email protected] or by calling 877-403-9319 at least forty-eight (48) hours prior to the next scheduled billing date. You understand and acknowledge that Services may be canceled or withheld if you revoke this authorization, and that you are still responsible for all charges incurred by you or otherwise owed to Lucky Rx. This authorization will remain in full force and effect until revoked by you or Lucky Rx. If you want to designate a different payment method or if there is a change in your payment method, you must update your information through your account settings or by contacting customer support. This may temporarily delay your ability to make online payments while we verify your new payment information.

You represent and warrant that if you are making online payments: (a) any credit card, debit card, and bank account information you supply is true, correct, and complete; (b) charges incurred by you will be honored by your credit or debit card company or bank; (c) you will pay the charges incurred by you in the amounts posted, including any applicable taxes; and (d) you are authorized to use the payment method submitted in connection with the Services. If Lucky Rx is unable to secure funds from the payment method you provide for any reason, including insufficient funds or inaccurate information provided when submitting payment, Lucky Rx may undertake further collection action, including application of fees to the extent permitted by law. You acknowledge and agree that you will not dispute charges from Lucky Rx with the payment method company, provided the transactions correspond to the terms indicated in these Terms and Conditions.

If a recurring charge to your payment method is declined, Lucky Rx may reattempt the charge up to two (2) additional times within seven (7) days following the initial decline. Lucky Rx will notify you by email (and, where you have opted in, by SMS) promptly following a declined charge. If all reattempts are unsuccessful, your subscription may be paused or canceled. You may update your payment method at any time through your account settings at www.luckyrx.com/account or by contacting customer support. Lucky Rx will not reattempt charges that are declined due to an invalid, expired, lost, or stolen card.

Only independent licensed healthcare providers can determine whether healthcare services, treatment options, prescriptions, or medications may be appropriate for a particular individual.

Influencer content, affiliate content, testimonials, social media content, and promotional materials may contain personal opinions, individual experiences, demonstrations, preferences, or statements created by independent third parties. Lucky Rx does not independently verify, adopt, endorse, or guarantee all statements made by affiliates, influencers, ambassadors, content creators, or promotional partners.

All products offered for sale by Lucky Rx are subject to availability and we reserve the right to impose quantity limits on any order or reject all or any part of an order without prior notice. In the event of an error, we reserve the right to correct the error and revise your order accordingly (which includes charging the correct price) or to cancel the order and refund any amount charged. Parties other than Lucky Rx, including Pharmacies, Medical Groups and Providers, provide services or sell products through the Service (collectively, “Third Parties”), and Lucky Rx may also make available to you for purchase certain services, devices, items or products manufactured, distributed or sold by Third Parties (“Third-Party Goods and Services”). Your use of any Third-Party Goods and Services and any interactions with Third Parties, including payment and delivery of goods or services, and any other terms, conditions, warranties or representations associated with such use or interactions, are solely between you and such Third Parties. You should make whatever investigation you feel necessary or appropriate before proceeding with any online or offline transaction involving Third Parties or any Third-Party Goods and Services. LUCKY RX SHALL NOT BE LIABLE FOR CLAIMS RELATING TO HEALTHCARE SERVICES, TREATMENT DECISIONS, PRESCRIBING DECISIONS, CLINICAL OUTCOMES, MEDICATION EFFECTIVENESS, ADVERSE REACTIONS, PHARMACY FULFILLMENT ACTIVITIES, OR OTHER ACTS OR OMISSIONS OF INDEPENDENT HEALTHCARE PROVIDERS, PHARMACIES, OR OTHER THIRD PARTIES.

TO THE MAXIMUM EXTENT PERMITTED UNDER APPLICABLE LAW, THE TOTAL AGGREGATE LIABILITY OF THE LUCKY RX PARTIES ARISING OUT OF OR RELATING TO THE WEBSITE OR SERVICES, UNDER ANY LEGAL OR EQUITABLE THEORY, SHALL NOT EXCEED THE TOTAL AMOUNT PAID BY YOU TO LUCKY RX DURING THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE EVENT OR OCCURRENCE GIVING RISE TO THE CLAIM. IF YOU HAVE NOT MADE ANY PAYMENTS TO LUCKY RX DURING SUCH PERIOD, LUCKY RX'S TOTAL AGGREGATE LIABILITY SHALL NOT EXCEED ONE HUNDRED U.S. DOLLARS ($100.00).

INDEMNIFICATION

You agree to indemnify, defend, and hold harmless Lucky Rx, its affiliates, licensors, service providers, contractors, vendors, payment processors, officers, directors, employees, agents, representatives, successors, and assigns (collectively, the "Indemnified Parties") from and against any and all claims, demands, actions, liabilities, damages, judgments, losses, costs, expenses, fines, penalties, and fees, including reasonable attorneys' fees and court costs, to the extent arising out of or relating to:

• your violation of these Terms and Conditions;
• any inaccurate, incomplete, misleading, outdated, or false information submitted by you, including health information submitted for clinical evaluation;
• your misuse of the Website or Services;
• your violation of any law, regulation, or third-party right;
• fraud, payment disputes, chargebacks, unauthorized payment activity, or unlawful conduct associated with your account;
• your infringement or alleged infringement of intellectual property, privacy rights, or other rights of any person or entity; or

This indemnification obligation applies solely to Lucky Rx and its corporate affiliates and does not extend to independent healthcare providers, pharmacies, or other third parties made available through the Services, whose liability is governed by their own separate agreements, professional obligations, and applicable law.

ARBITRATION AGREEMENT; WAIVER OF TRIAL BY JURY AND WAIVER OF CLASS ACTION

PLEASE READ THIS SECTION CAREFULLY. IT AFFECTS YOUR LEGAL RIGHTS.

THESE TERMS AND CONDITIONS CONTAIN A BINDING INDIVIDUAL ARBITRATION AGREEMENT, JURY TRIAL WAIVER, AND CLASS ACTION WAIVER. EXCEPT FOR CERTAIN DISPUTES EXPRESSLY EXCLUDED BELOW, YOU AND LUCKY RX AGREE THAT DISPUTES WILL BE RESOLVED EXCLUSIVELY THROUGH FINAL AND BINDING INDIVIDUAL ARBITRATION AND NOT IN COURT.

BY AGREEING TO THESE TERMS AND CONDITIONS, YOU AND LUCKY RX WAIVE THE RIGHT TO A TRIAL BY JUDGE OR JURY AND WAIVE THE RIGHT TO PARTICIPATE IN ANY CLASS ACTION, REPRESENTATIVE ACTION, MASS ACTION, PRIVATE ATTORNEY GENERAL ACTION, OR CLASS-WIDE ARBITRATION.

Informal Dispute Resolution Requirement

Before initiating arbitration, you and Lucky Rx agree to first attempt to resolve any dispute informally. A party intending to initiate arbitration must first provide written notice describing the nature of the dispute and requested relief.

The parties agree to attempt good-faith informal resolution for thirty (30) days following receipt of notice before arbitration may be initiated.

Applicability of Arbitration Agreement

Any dispute, claim, controversy, or cause of action arising out of or relating to the Website, Services, these Terms and Conditions, your use of the Website or Services, payments, subscriptions, transactions, privacy practices, communications, advertising, or the relationship between you and Lucky Rx (collectively, "Disputes") shall be resolved exclusively through final and binding individual arbitration except as expressly provided below.

This Arbitration Agreement applies to you and Lucky Rx and also applies to Lucky Rx's affiliates, licensors, service providers, payment processors, contractors, officers, directors, employees, agents, representatives, predecessors, successors, assigns, and related parties.

THE PARTIES UNDERSTAND THEY OTHERWISE WOULD HAVE HAD THE RIGHT TO LITIGATE IN COURT, HAVE CLAIMS DECIDED BY A JUDGE OR JURY, CONDUCT BROADER DISCOVERY, AND PARTICIPATE IN CLASS PROCEEDINGS, BUT VOLUNTARILY WAIVE THOSE RIGHTS.

Disputes Excluded from Arbitration

Notwithstanding the foregoing:

• either party may bring an individual action in small claims court if the claim qualifies;
• either party may seek temporary, preliminary, or emergency equitable relief in a court of competent jurisdiction for protection of intellectual property rights, confidential information, or other proprietary interests; and
• either party may seek relief for unauthorized access, misuse, fraud, or abuse involving the Website or Services where equitable relief is appropriate.

Confidential Proceedings

To the extent permitted by applicable law, the parties agree to maintain the confidentiality of arbitration proceedings, including materials submitted in connection with arbitration, arbitration filings, hearing materials, and arbitration decisions.

Batch Arbitration

To increase efficiency of resolution, in the event that twenty-five (25) or more similar arbitration demands are filed against Lucky Rx within a ninety (90) day period by or with the assistance of the same law firm or organization, the AAA shall consolidate such demands into batches of no more than fifty (50) demands per batch and administer each batch as a single arbitration with one set of filing and administrative fees. The parties agree to cooperate in good faith with the AAA and each other to implement this batch process.

Arbitrator

Arbitration shall be administered by the American Arbitration Association ("AAA") under its applicable Consumer Arbitration Rules then in effect. The arbitration shall be conducted before a single arbitrator. The arbitrator's decision shall be final and binding and judgment may be entered in any court having jurisdiction.

Place and Governing Law

This Arbitration Agreement evidences a transaction involving interstate commerce and shall be governed by the Federal Arbitration Act, 9 U.S.C. § 1 et seq. To the extent state law applies, the laws of the State of Nevada shall govern these Terms and Conditions and any Disputes without regard to conflict-of-law principles.

To the extent a Dispute is permitted to proceed in court under these Terms and Conditions, the parties agree that state and federal courts located in Clark County, Nevada shall have exclusive jurisdiction.

Survival; Severability

This Arbitration Agreement shall survive termination of these Terms and Conditions and termination of your use of the Website or Services.

Time Limitation on Claims

To the maximum extent permitted by applicable law, any claim or Dispute arising out of or relating to the Website, Services, or these Terms and Conditions must be initiated within one (1) year after the claim or Dispute first arose or was reasonably discoverable.

YOU MAY OPT OUT OF THIS ARBITRATION AGREEMENT BY SENDING WRITTEN NOTICE TO LUCKY RX WITHIN THIRTY (30) DAYS OF THE DATE YOU FIRST AGREE TO THESE TERMS AND CONDITIONS. OPT-OUT NOTICES MUST BE SENT TO LUCKY RX LLC, 1311 SEVEN HILLS DR., HENDERSON, NV 89052, ATTN: ARBITRATION OPT-OUT, AND MUST INCLUDE YOUR NAME, ADDRESS, EMAIL ADDRESS, AND A CLEAR STATEMENT THAT YOU WISH TO OPT OUT OF THE ARBITRATION AGREEMENT. IF YOU OPT OUT, ALL OTHER PROVISIONS OF THESE TERMS AND CONDITIONS REMAIN IN EFFECT. OPTING OUT OF THIS ARBITRATION AGREEMENT DOES NOT AFFECT ANY OTHER ARBITRATION AGREEMENTS YOU MAY HAVE WITH LUCKY RX.

By creating an account, using the Website or Services, providing your telephone number or email address, sending Lucky Rx an initial text message, or otherwise opting in to receive communications (collectively, “Enrollment”), you consent to receive communications from Lucky Rx through email, text message (SMS), telephone calls, push notifications, and other electronic means relating to your account and use of the Website or Services.

Any use of third-party software provided in connection with the Service, or any Third-Party Goods and Services accessed or used in connection with the Service, will be governed by the applicable third-party’s license or terms of use, if any, and if there is no such license or terms of use, by this Agreement. Except for the foregoing or as otherwise specifically set forth in this Agreement, including with respect to the indemnification obligations contained herein in favor of Lucky Rx, the Medical Groups, the Pharmacies, and the Providers and the agreement to arbitration, we hereby expressly agree that there is no intent by either party to create or establish third party beneficiary status rights or their equivalent in any other referenced individual, subcontractor or third party, and, except as specifically set forth in this Agreement, that no third party shall have any right to enforce any right or enjoy any benefit that is created or established under this Agreement.

MODIFICATIONS TO THESE TERMS AND CONDITIONS

Lucky Rx reserves the right to modify, update, revise, supplement, or discontinue these Terms and Conditions, in whole or in part, at any time in its sole discretion, subject to applicable law.

Your continued access to or use of the Website or Services following the effective date of updated Terms and Conditions constitutes your acknowledgment and acceptance of the revised Terms and Conditions.

If you do not agree to any modified Terms and Conditions, your sole remedy is to discontinue use of the Website and Services and, if desired, terminate your account.
